Kenny Kwan

Kenny Kwan is a Partner at A&O Shearman in Singapore, focusing on Capital Markets Law. His expertise includes mergers and acquisitions, equity capital markets transactions, IPOs, SPACs and general corporate matters.

He has US securities law experience acting as both issuers’ and underwriters’ counsel on US-registered offerings, Rule 144A/Regulation S offerings and ADR offerings. Kenny also advises fund managers and issuers on the structuring and establishment of investment funds domiciled in Singapore, as well as on regulatory aspects of managing investment funds outside of Singapore.

His representative matters include acting for a consortium of banks on the 144A/Reg S IPO and dual listing of IHH Healthcare on Bursa Malaysia and Singapore Exchange; acting for a consortium of underwriters on the Rule 144A/Reg S US$5.8 billion IPO of Hutchison Port Holdings Trust on the Singapore Exchange; acting for a consortium of banks as joint bookrunners and joint underwriters on the Rule 144A/Reg S IPO of Global Logistic Properties Limited; acting for a consortium of underwriters on the IPO of Far East Hospitality Trust; acting for the underwriters on the Rule 144A/Regulation S IPO of Yangzijiang Shipbuilding (Holdings) Ltd; acting for Thai Beverage on its Rule 144A/Regulation S IPO; advising Thunes, the global payments infrastructure company, in all its funding rounds; advising Heptagon Advanced Micro-Optics Pte. Ltd. on its sale to AMS AG for US$855 million; advising EDP Renováveis, S.A. on its acquisition of a majority stake in Sunseap Group Pte Ltd for S$490 million; and advising Keppel Capital and Alpha Investment Partners Limited on the formation of various funds including data centre funds, real estate funds, an education fund and a logistics fund.

His expertise covers corporate and M&A, capital markets, equity capital markets, and M&A, JVs and corporate reorganisations. He holds an LLB (Hons) from the National University of Singapore (1995) and is a member of the Supreme Court of Singapore, The Law Society of England and Wales, and The New York State Bar Association.
