Caryn Ng

Caryn Ng is a Partner at A&O Shearman in Singapore, focusing on Capital Markets Law. Her primary areas of focus are equity capital markets and corporate finance, with additional experience in private equity and corporate M&A transactions.

Caryn is Singapore law qualified and has a wide range of experience advising on SPACs, IPOs, as well as M&A transactions across ASEAN. She has represented issuers and underwriters in numerous securities listings on the Singapore Exchange Securities Trading Limited (SGX-ST).

Her representative matters include advising Yinson Production on its US$1 billion fund raising by way of issuance of redeemable convertible preference shares and warrants to RRJ Group, ADIA and BCI; advising a global financial services provider on its pre-conditional voluntary cash general offer for 51% of Income Insurance Limited for SGD 2.2 billion; advising EDP Renewables on its acquisition of a 91% stake in Sunseap Group for SGD 1.1 billion; advising a group of financial institutions as joint bookrunners and underwriters on the first private placement of new units in Parkway Life Real Estate Trust since its IPO, amounting to SGD 180 million; advising the underwriters on PropNex’s IPO on SGX-ST; acting for underwriters as to US federal securities law in respect of Vertex Technology Acquisition Corporation Ltd. (VTAC)’s IPO on SGX-ST; advising Keppel DC REIT on its subscription of notes and preference shares in a joint venture with M1 Limited; acting for underwriters as to US federal securities law in respect of Mr D.I.Y. Group’s IPO, which was awarded Equity Market Deal of the Year by Asian Legal Business Malaysia Law Awards 2021; acting as international counsel to Thailand Future Infrastructure Fund in its US$1.4 billion IPO on the Stock Exchange of Thailand; and advising Thunes, the global payments infrastructure company, in most of its funding rounds including the US$150 million Series D financing.

Her expertise covers equity capital markets, corporate and M&A, emerging growth, and M&A, JVs and corporate reorganisations. She holds an LLB (Hons) and a Bachelor of Business Management from Singapore Management University (2011), and was admitted as an advocate and solicitor in Singapore in 2012.
