Jon Nair

Jon Nair is a Director in the Corporate & Finance practice at Drew & Napier, specializing in Mergers and Acquisitions. His practice covers a broad spectrum of corporate transactions including M&A, private equity and venture capital investments, joint ventures, and restructuring, with a focus on regional transactions in Southeast Asia.

Jon has advised on numerous significant transactions, including advising IBS Software in a sell‑side auction process resulting in a cash exit to Blackstone and an approximately US$450 million investment by Apax Partners, valuing the company at over US$1 billion (IBLJ Deals of the Year 2023); advising Heliconia Capital Management as lead transaction counsel on its US$200 million equity investment in Pacific International Lines; advising Sealed Air Corporation as Singapore counsel in the US$3.2 billion carve‑out sale of its Diversey Care division to Bain Capital; advising Innovalues Limited in its S$331 million acquisition by Northstar Group (Singapore Venture Capital & Private Equity Association PE Deal of the Year 2017); and advising a KKR‑affiliated fund in the S$785 million acquisition of Unisteel Technology Limited. He also advises on compliance with SGX listing rules, employment matters, and commercial contracts.

Before joining Drew & Napier in 2015, Jon worked in leading Singapore and international law firms and was seconded to a major Singapore‑listed real estate and hospitality company. He holds an LL.B. (Hons) from the National University of Singapore (2004) and was admitted to the Singapore Bar in 2005.
