Nicholas Soh

Nicholas Soh is a Partner at Allen & Gledhill LLP, specialising in mergers and acquisitions (M&A) with a specific emphasis on private equity, joint venture and venture capital work. He regularly acts for venture capital investors, corporate venture capital arms and startups, advising on both early and later-stage investments, private equity transactions, and cross‑border M&A deals.

He has acted for Softbank Vision Fund 2 on its US$100 million Series C round investment in Biofourmis and its Series D financing round of Advance.AI, which raised more than US$400 million and was awarded best VC/PE deal in 2021 by FinanceAsia. He also acted for Macquarie Infrastructure and Real Assets on its acquisition of 50% of Oiltanking Odfjell Terminal Singapore Pte. Ltd., TEG on its acquisition of TicketCharge in Malaysia, and Grab on its joint venture with Tokyo Century and its acquisition of tech start‑up Bento Invest. He is a member of the Venture Capital Model Investment Agreements (VIMA) working group jointly established by the Singapore Academy of Law and the Singapore Venture Capital and Private Equity Association.

Nicholas holds an LL.B. (First Class Honours) from the National University of Singapore, graduating overall second in the class of 2013 with multiple academic awards, and an LL.M. from the New York University School of Law. He was called to the Singapore Bar in 2014. He is recognised as a Band 5 practitioner in Startups & Emerging Companies by Chambers Asia‑Pacific, a Next Generation Partner in Start‑up and Venture Capital by The Legal 500 Asia‑Pacific, and has won the Lexology Client Choice Award 2024 in the Singapore M&A category.
