Pearlyn Xie

Pearlyn Xie is a Partner in the Corporate Practice at Shook Lin & Bok LLP, specialising in capital markets law, mergers and acquisitions, and corporate finance. She advises corporations, financial institutions, and investors across the full spectrum of corporate transactions, from complex cross-border deals to strategic domestic mandates.

Pearlyn has advised on initial public offerings, secondary listings, and dual listings on major exchanges including the Singapore Exchange, the Hong Kong Stock Exchange, the NYSE, Nasdaq, and major PRC bourses. Notable ECM matters include acting as Singapore counsel for Shanghai Sunmi Technology Co., Ltd. on its HK$1.06 billion IPO on the Hong Kong Stock Exchange; for MiniMax Group Inc. on its HK$4.8 billion IPO on the Hong Kong Stock Exchange; and as issuer counsel for the listing of Yangzijiang Financial Holdings on the Singapore Exchange with a market cap of S$4.3 billion. In M&A, she acts for buyers, sellers, and target companies in public takeovers, privatisations, reverse takeovers, and strategic acquisitions. She has advised EvolutionX on investments in Mensa Brands, Carsome, and Udaan; EDBI on investments in ADVANCE Intelligence Group and Moka; and the Vendor on the disposal of a 40% stake in Robert Parker Wine Advocate to Michelin.

Pearlyn holds an LL.B (Hons) from the National University of Singapore (2007) and was called to the Singapore Bar in 2008. She is fluent in English and Mandarin, regularly acting for PRC-based clients and managing cross-border transactions conducted in Chinese.

She has been recommended in Corporate and M&A by The Legal 500 Asia Pacific and praised by clients for being "responsive" with "good knowledge" and for understanding "commercial deal complexities".
