Ron Cheng

Ron Cheng is the Head of Investment Funds at Drew & Napier, and a Director in the Corporate & Finance practice, specializing in Capital Markets Law. He is a leading practitioner in the Singapore funds industry with over 20 years of experience, advising on the establishment of traditional and alternative investment funds across various legal structures, including Singapore variable capital companies (VCCs), limited partnerships, unit trusts, companies, business trusts, and Cayman segregated portfolio companies.

Ron acts as lead counsel in downstream transactions, including private equity and venture capital investments, and M&A. He provides legal support to fund managers and investors on upstream and downstream fund work, including advising lead investors in fundraising rounds. He advises clients on obtaining capital markets services licences and establishing single‑family offices and multi‑family offices in Singapore, and on applying for section 13O and 13U tax incentive schemes. Notable transactions include advising a Dutch pension fund asset manager as lead investor in a private equity transaction involving a tax‑exempted fund; advising various Malaysian State‑owned entities on investments into a VCC; and advising sponsors on cross‑border investment into a VCC holding concession rights in mining across multiple jurisdictions. He has also advised on domestic and cross‑border M&A, joint ventures, financing, and employment law matters.

Ron holds an LL.B. (Hons) from the National University of Singapore (2002) and was admitted as an Advocate & Solicitor of the Supreme Court of Singapore in 2003. He is also a Solicitor of the Supreme Court of England and Wales (2006) and a Barrister & Solicitor of the Supreme Court of Victoria, Australia (2008).
